The ZB Financial Holdings Group is cognisant of the need to exhibit impeccable integrity and professionalism in the account of its business. To this end, the Group subscribes to sound corporate governance practices.

The Group acknowledges and upholds the seven basic tenets of good corporate governance as espoused in the King 11 Report on Corporate Governance, namely:-

  1. Discipline
  2. Transparency
  3. Independence
  4. Accountability
  5. Responsibility
  6. Fairness and
  7. Social responsibility

To reinforce the existing corporate governance structures, the Group has adopted the Reserve Bank of Zimbabwe (RBZ) corporate governance guidelines and complies with the requirements set out therein.


The Board of Directors of  ZB Financial Holdings exercise leadership, enterprise, integrity and shrewd judgement in directing the Group so as to achieve continued viability and always acts in the best interest of the institution business.

There is a clear division of responsibility at the head of the Group to ensure a balance of power and authority. The ZB Financial Holdings Board Chairman is not an offer of the institution.

The Board undertakes its primary oversight function of setting the strategic direction for the Group, monitoring performance and ensuring compliance and conformance with statutory and regulatory requirements and retains full and effective control of the institution at all times.
